DentPal Terms of Service

Thank you for visiting the DentPal website. These Website Terms of Use (“Website Terms”) govern your access to and use of the public website operated by DentPal LLC (“DentPal,” “Company,” “we,” “us,” or “our”), including any public webpages, website content, forms, materials, and other website features that link to these Website Terms (collectively, the “Site”).

Please read these Website Terms carefully. By accessing or using the Site, you agree to be bound by these Website Terms. If you do not agree to these Website Terms, you may not access or use the Site.

1. Website-Only Scope
These Website Terms apply only to your access to and use of the public DentPal Site.
These Website Terms do not govern access to or use of DentPal’s paid platform, software, customer portal, customer accounts, modules, integrations, implementation services, support services, business associate obligations, protected health information functionality, or other customer-specific services. Those products and services are governed by separate agreements, order forms, business associate agreements, addenda, policies, and other terms presented to or accepted by the applicable customer or authorized user.
If there is a conflict between these Website Terms and a separate written or electronic agreement governing DentPal’s paid products or services, the separate customer-specific agreement controls for those products or services.

2. Changes to These Website Terms
We may update these Website Terms from time to time. When we do, we will update the “Last Updated” date above. Your continued use of the Site after any updated Website Terms are posted means you accept the updated Website Terms.

3. Eligibility and Responsibility for Access
You may use the Site only if you are legally able to agree to these Website Terms. You are responsible for obtaining and maintaining any internet access, device, software, and telecommunications services needed to access the Site. You are responsible for all activity that occurs through your device or connection when using the Site.

4. No Medical, Dental, Legal, Billing, Insurance, or Compliance Advice
The Site and all content made available through the Site are provided for general informational and business purposes only.
DentPal does not provide medical, dental, clinical, legal, billing, insurance, regulatory, or compliance advice through the Site. Nothing on the Site creates a dentist-patient relationship, provider-patient relationship, attorney-client relationship, consultant-client relationship, or other professional advisory relationship.
You should not rely on the Site as a substitute for professional judgment or advice from qualified dental, medical, legal, billing, insurance, compliance, or other professional advisors.

5. Permitted Use of the Site
Subject to these Website Terms, DentPal grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Site for lawful informational and business purposes.
You may not use the Site for any purpose that is unlawful, harmful, fraudulent, abusive, disruptive, or otherwise inconsistent with these Website Terms.

6. Prohibited Uses
You agree not to, directly or indirectly:

  1. access or use the Site in violation of any applicable law, rule, or regulation;
  2. copy, modify, translate, adapt, scrape, reproduce, distribute, sell, lease, sublicense, or create derivative works from the Site or its content except as expressly permitted by DentPal;
  3. reverse engineer, decompile, disassemble, or attempt to discover the source code, structure, systems, or underlying ideas of the Site;
  4. interfere with or disrupt the operation, security, integrity, or availability of the Site;
  5. attempt to gain unauthorized access to the Site, DentPal systems, accounts, networks, or data;
  6. use bots, crawlers, scrapers, data-mining tools, automated queries, or similar tools to access, monitor, copy, or extract content from the Site without DentPal’s prior written permission;
  7. introduce malware, viruses, harmful code, denial-of-service traffic, or other harmful technology;
  8. impersonate any person or entity or misrepresent your affiliation with any person or entity;
  9. use the Site to transmit spam, unsolicited messages, deceptive content, or unlawful communications;
  10. harvest, collect, or misuse information from the Site or other users;
  11. use the Site to infringe, misappropriate, or violate any intellectual property, privacy, publicity, contractual, or other rights of DentPal or any third party;
  12. use the Site for benchmarking, competitive analysis, or competitive intelligence in a manner that copies, extracts, or misuses DentPal content, design, materials, or confidential information; or
  13. encourage, assist, or enable any other person to do any of the above.

7. DentPal Intellectual Property
The Site and all content, materials, text, graphics, images, videos, designs, icons, logos, trademarks, service marks, trade names, product names, page layouts, user interfaces, look and feel, software, code, and other materials made available through the Site are owned by DentPal or its licensors and are protected by intellectual property and other laws.
Except for the limited right to access and use the Site under these Website Terms, DentPal does not grant you any right, title, or interest in or to the Site or any DentPal intellectual property.
You may not use DentPal’s name, logos, trademarks, service marks, trade names, product names, or branding without DentPal’s prior written permission.

8. Website Content
DentPal may change, update, remove, or discontinue any Site content at any time without notice. We do not guarantee that Site content is accurate, complete, current, error-free, or available at all times.
Any descriptions of DentPal products or services on the Site are for general informational purposes only and do not create a binding offer, warranty, commitment, or obligation unless expressly included in a separate written or electronic agreement signed or accepted by DentPal.

9. Submissions, Contact Forms, and Feedback
The Site may allow you to submit information through contact forms, demo request forms, email links, or other public website features. You are responsible for ensuring that any information you submit is accurate, lawful, and does not violate the rights of any third party.
Unless DentPal has entered into a separate written agreement with you, submitting information through the Site does not create a customer relationship, service relationship, business associate relationship, confidential relationship, or obligation for DentPal to provide any product or service.
If you submit comments, suggestions, ideas, requests, recommendations, or other feedback about DentPal, the Site, or DentPal products or services (“Feedback”), you agree that DentPal may use such Feedback without restriction, attribution, or compensation to you. Feedback will not be treated as confidential unless DentPal separately agrees in writing.
You should not submit protected health information, patient records, sensitive clinical information, payment card information, confidential business information, or other sensitive information through public website forms unless DentPal expressly provides a secure method and instructs you to do so.

10. Privacy
Your use of the Site is also subject to DentPal’s Privacy Policy, which describes how DentPal may collect, use, and disclose information through the Site. Please review the Privacy Policy carefully.
If there is a conflict between these Website Terms and the Privacy Policy regarding the handling of personal information collected through the Site, the Privacy Policy controls for that issue.

11. Third-Party Websites and Services
The Site may contain links to third-party websites, platforms, tools, or resources. DentPal does not control and is not responsible for any third-party websites, content, products, services, policies, or practices.
Your use of third-party websites or services is at your own risk and may be governed by separate terms and privacy policies from those third parties.

12. Site Availability and Security
DentPal may modify, suspend, restrict, or discontinue all or part of the Site at any time, with or without notice. DentPal does not guarantee that the Site will be uninterrupted, secure, error-free, free of harmful code, or available at any particular time or location.
You are responsible for using appropriate safeguards when accessing the Site, including using secure devices, updated browsers, and reasonable cybersecurity practices.

13. Disclaimer of Warranties
THE SITE AND ALL SITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DENTPAL DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
DENTPAL DOES NOT WARRANT THAT THE SITE OR SITE CONTENT WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, SECURE, ERROR-FREE, CURRENT, COMPLETE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DENTPAL AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE UNDER OR IN CONNECTION WITH THESE WEBSITE TERMS, THE SITE, OR SITE CONTENT UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, FOR ANY: (A) CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, ENHANCED, OR PUNITIVE DAMAGES; (B) INCREASED COSTS, DIMINUTION IN VALUE, OR LOST BUSINESS, PRODUCTION, REVENUES, OR PROFITS; (C) LOSS OF GOODWILL OR REPUTATION; (D) USE, INABILITY TO USE, LOSS, INTERRUPTION, DELAY, OR RECOVERY OF ANY DATA, OR BREACH OF DATA OR SYSTEM SECURITY; OR (E) COST OF REPLACEMENT GOODS OR SERVICES, IN EACH CASE REGARDLESS OF WHETHER DENTPAL WAS ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES OR SUCH LOSSES OR DAMAGES WERE OTHERWISE FORESEEABLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DENTPAL’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE WEBSITE TERMS, THE SITE, OR SITE CONTENT UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, WILL NOT EXCEED FIFTY DOLLARS ($50).
Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, DentPal’s liability will be limited to the maximum extent permitted by law.

15. Indemnification
You agree to defend, indemnify, and hold harmless DentPal and its owners, officers, directors, employees, contractors, agents, affiliates, licensors, and service providers from and against any claims, demands, losses, liabilities, damages, judgments, settlements, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  1. your access to or use of the Site;
  2. your violation of these Website Terms;
  3. your violation of applicable law;
  4. your violation, infringement, or misappropriation of any third-party right; or
  5. any information, content, Feedback, or other material you submit through the Site.

DentPal reserves the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with DentPal’s defense of such matter.

16. Arbitration
Any and all controversies, claims, or disputes arising out of, relating to, or connected with these Website Terms, the Site, Site content, or your access to or use of the Site shall be referred to and settled by arbitration administered by the American Arbitration Association (“AAA”) in accordance with the AAA’s Commercial Arbitration Rules and any other applicable rules and procedures by a panel of three arbitrators appointed in compliance with those rules. This includes disputes over arbitrability.
The location of the arbitration, including the location of all arbitration hearings, shall be Dallas, Texas. The arbitral award shall address the costs and expenses, including attorneys’ fees and expenses, of arbitration and all matters related thereto, including allocation of those costs and expenses between the parties. The award of the arbitrators shall be final and binding upon the parties.
The parties submit to the jurisdiction of the courts of Texas for purposes of confirming, ratifying, or enforcing any arbitration award made pursuant to arbitration proceedings conducted under this section.
By using the Site, you expressly waive your right to pursue any controversy, claim, or dispute in court and instead must submit any such controversy, claim, or dispute to arbitration as described in this section, except to the extent arbitration is not permitted by applicable law.

17. Waiver of Class and Joint Claims
Any arbitration, or if arbitration of the action is not permitted by law, any litigation, shall be solely on behalf of an individual person or entity. No arbitration or litigation shall be consolidated or joined with the claims of any other person or entity or brought on behalf of a putative class unless DentPal previously agrees in writing.

18. Governing Law; Claim Deadline
These Website Terms and any and all controversies, claims, or disputes arising out of, relating to, or connected with these Website Terms, the Site, Site content, or your access to or use of the Site will be governed exclusively by the laws of the State of Texas, without regard to its conflict-of-law principles.
No claim against DentPal or its owners, officers, directors, employees, contractors, agents, affiliates, successors, assigns, licensors, or service providers, of any kind under any circumstances, may be asserted or filed more than one year after you know, or in the exercise of reasonable care could know, of any circumstances, whether by act or omission, that may give rise to such claim.

19. Termination and Access Restrictions
DentPal may suspend, restrict, block, or terminate your access to all or part of the Site at any time, with or without notice, if DentPal believes you have violated these Website Terms, created risk for DentPal or others, or used the Site in a harmful, unlawful, abusive, or unauthorized manner.
Upon termination or restriction of your access, your right to use the Site immediately ends. Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, arbitration, waiver of class and joint claims, governing law, claim deadline, and miscellaneous terms.

20. Assignment
You may not assign or transfer these Website Terms or any rights or obligations under these Website Terms without DentPal’s prior written consent. DentPal may assign or transfer these Website Terms, in whole or in part, without restriction.

21. Severability
If any provision of these Website Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

22. No Waiver
DentPal’s failure to enforce any provision of these Website Terms will not be deemed a waiver of that provision or any other provision. Any waiver must be in writing and signed by DentPal to be effective.

23. Entire Agreement for Website Use
These Website Terms, together with any policies referenced in these Website Terms, constitute the entire agreement between you and DentPal regarding your use of the Site.
These Website Terms do not replace, modify, or supersede any separate agreement between DentPal and a customer, authorized user, business partner, vendor, or other party regarding DentPal products or services, except with respect to use of the public Site.
